Refund and Cancellation Policy

1. General Policy Statement

This Refund and Cancellation Policy ("Policy") governs all transactions with APIILABZ (OPC) PRIVATE LIMITED (CIN: U63119UP2025OPC218634), having its registered office at Agra, Uttar Pradesh, 282007, India ("APIILABZ", "Company", "we", "us", or "our"). By making any payment to APIILABZ or engaging our services, you unconditionally accept and agree to be bound by this Policy. This Policy should be read in conjunction with our Terms and Conditions, which are incorporated herein by reference.

2. No Refund Policy

2.1 General Principle: All payments made to APIILABZ for any service, product, consultation, subscription, setup fee, implementation charge, or any other engagement are strictly non-refundable. This no-refund policy applies globally to all clients regardless of their location, jurisdiction, or the nature of services purchased.

2.2 Absolute Nature: Once payment has been received by APIILABZ, whether partial or full, for any service or product, such payment shall be deemed final and conclusive. No refund, chargeback, reversal, or reimbursement of any kind shall be provided under any circumstances whatsoever, including but not limited to:

  • Change of mind or business requirements
  • Dissatisfaction with services or outcomes
  • Non-utilization of purchased services or subscriptions
  • Technical difficulties or service interruptions
  • Third-party platform failures or integration issues
  • Changes in business circumstances or market conditions
  • Budgetary constraints or financial difficulties
  • Force majeure events or circumstances beyond control
  • Regulatory or legal changes affecting the client

2.3 Acknowledgment: By making payment, you explicitly acknowledge that you have read, understood, and unconditionally accept this no-refund policy, and you irrevocably waive any right to claim, demand, or pursue refund, reimbursement, or reversal of payment under any law, regulation, or payment mechanism.

3. Service-Specific Provisions

3.1 Setup and Implementation Fees: All setup fees, implementation charges, onboarding fees, and similar one-time payments are completely non-refundable. These fees cover professional services, resource allocation, technical configuration, system integration, and expertise deployed, which cannot be reversed or reclaimed once rendered.

3.2 Consultation Services: Fees paid for consultation services, advisory sessions, technical guidance, strategic planning, or any form of knowledge-based services are entirely non-refundable. Such services involve the transfer of expertise, professional insights, and intellectual capital, which once delivered, cannot be returned or undone. Payment for consultation services remains final regardless of whether the client implements the advice or recommendations provided.

3.3 Subscription Services: Subscription fees for platform access, SaaS products, API usage, or recurring services are non-refundable. Subscription payments are charged for the committed period, and no prorated refunds shall be provided for early cancellation, non-usage, or partial usage of the subscription period.

3.4 Custom Development and Integration: All payments for custom software development, integration services, customization work, or bespoke solutions are final and non-refundable. Such payments compensate for intellectual effort, development time, technical expertise, and resource commitment, all of which are expended upon project commencement and cannot be recovered.

3.5 Variable Pricing Engagements: For services where pricing varies based on complexity, scope, or project requirements, payments shall be determined by the invoice issued. Once an invoice is paid, regardless of the amount, the payment is final and non-refundable. The specific deliverables, scope, and terms for such engagements shall be as detailed in the invoice or service agreement.

4. Cancellation Policy

4.1 Service Cancellation: Clients may request cancellation of ongoing services or subscriptions by providing written notice to info@apilabz.com. Upon receipt of a cancellation request:

  • No refund shall be provided for any fees already paid
  • Access to services will be terminated at the end of the current paid period
  • Any work in progress shall be halted without refund of amounts paid
  • APIILABZ reserves the right to retain all intellectual property and work product developed up to the point of cancellation

4.2 Cancellation by APIILABZ: APIILABZ reserves the unconditional right to cancel, suspend, or terminate any service or engagement at its sole discretion, with or without cause or notice. In the event of cancellation by APIILABZ:

  • APIILABZ may, at its absolute discretion, choose whether to provide any refund
  • If any refund is provided, it shall be calculated on a prorated basis determined solely by APIILABZ
  • APIILABZ shall have no liability for any consequential losses, damages, or expenses arising from such cancellation
  • All intellectual property and work product shall remain the exclusive property of APIILABZ

4.3 Automatic Renewal: Subscription services may be subject to automatic renewal unless cancelled prior to the renewal date. Fees for renewal periods are charged in advance and are non-refundable once processed. It is the client's responsibility to cancel subscriptions before the renewal date to avoid charges for subsequent periods.

5. Payment Disputes and Chargebacks

5.1 No Chargeback Right: You expressly waive any right to initiate chargebacks, payment reversals, or disputes through your payment provider, bank, or credit card company. By accepting this Policy and making payment, you acknowledge that you have no grounds for initiating such actions.

5.2 Unauthorized Chargebacks: If you initiate an unauthorized chargeback or payment dispute:

  • APIILABZ shall immediately terminate all services and revoke all access
  • You shall be liable for all costs, fees, and expenses incurred by APIILABZ in defending against such dispute, including legal fees
  • APIILABZ may pursue legal action for breach of contract and recovery of damages
  • You shall be permanently banned from using any APIILABZ service
  • APIILABZ may report such conduct to relevant authorities and credit agencies

5.3 Dispute Resolution: Any disputes regarding payments, services, or this Policy must be resolved through the dispute resolution mechanism specified in our Terms and Conditions. Direct communication with APIILABZ at info@apilabz.com is the exclusive first step for addressing any concerns.

6. Scope of Services and Invoicing

6.1 Diverse Service Offerings: APIILABZ provides a comprehensive range of services across multiple domains and technology platforms. Not all services are publicly listed on our website. The nature, scope, deliverables, and pricing of services are determined on a case-by-case basis and documented in invoices or service agreements.

6.2 Invoice as Contract: Each invoice issued by APIILABZ constitutes an independent contract incorporating this Policy and our Terms and Conditions. The invoice shall specify:

  • The service or product being purchased
  • The applicable fees and charges
  • Payment terms and due dates
  • Any specific terms or conditions applicable to that engagement

6.3 Client Acknowledgment: By paying an invoice, you acknowledge that you have reviewed and accepted the terms specified therein, including the non-refundable nature of the payment and the scope of services to be provided.

7. Force Majeure and Service Availability

No refunds shall be provided due to service interruptions, delays, or unavailability caused by:

  • Force majeure events including natural disasters, pandemics, wars, or government actions
  • Third-party service provider failures or interruptions
  • Internet or telecommunications infrastructure issues
  • Scheduled or emergency maintenance activities
  • Security incidents or cyber attacks
  • Changes in third-party APIs, platforms, or services

APIILABZ shall use commercially reasonable efforts to restore services but shall have no obligation to provide refunds, credits, or compensation for any service interruptions regardless of duration or cause.

8. Modification of Policy

APIILABZ reserves the absolute right to modify, amend, or replace this Policy at any time without prior notice. Any modifications shall be effective immediately upon posting on the APIILABZ website. Your continued engagement with APIILABZ services after such modifications constitutes acceptance of the revised Policy.

It is your responsibility to review this Policy periodically. Transactions completed after Policy modifications shall be governed by the Policy version in effect at the time of payment.

9. Governing Law and Jurisdiction

This Policy shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with this Policy shall be subject to the exclusive jurisdiction of courts at New Delhi, India, and shall be resolved in accordance with the dispute resolution provisions specified in our Terms and Conditions.

This Policy is enforceable globally, and by engaging with APIILABZ from any jurisdiction, you agree to submit to the governing law and jurisdiction specified herein.

10. Exceptions and Discretionary Refunds

10.1 No Obligation: While this Policy establishes a strict no-refund framework, APIILABZ reserves the right, in its absolute and sole discretion, to provide refunds, credits, or adjustments on a case-by-case basis. Any such discretionary action shall not:

  • Create any precedent or expectation for future transactions
  • Modify or waive the terms of this Policy
  • Establish any right or entitlement to refunds
  • Constitute an acknowledgment of any error or liability

10.2 Sole Discretion: All decisions regarding discretionary refunds shall be made solely by APIILABZ based on factors it deems relevant, and such decisions shall be final and binding. APIILABZ is under no obligation to provide reasons for granting or denying any request for exceptional consideration.

11. Consumer Protection and Statutory Rights

Nothing in this Policy is intended to exclude or limit any statutory rights that cannot be excluded or limited under applicable consumer protection laws. However, to the maximum extent permitted by law, APIILABZ limits its liability and obligations as set forth in this Policy and the Terms and Conditions. This Policy operates within the framework of applicable laws including the Consumer Protection Act, 2019, and other relevant Indian legislation, as well as any applicable international consumer protection laws where our services are accessed.
